Римське право про юридичну особу: pro et contra
Анотація
У поданій до обговорення статті наведено аргументи «за» і «проти» підтримки існування та розвитку конструкції «юридична особа» у вченнях римських юристів. Аналіз цивілістичної доктрини про римське право щодо вчення про юридичну особу дозволив дійти висновку, що хоча римські юристи не напрацювали поняття юридичної особи, однак було запропоновано її основний практичний прояв: напрацьовано поняття правоздатності, що не залежить від фізичної особи, поняття дієздатності й основні типи юридичних осіб, які отримали в подальшому свій розвиток в європейській юриспруденції. Заслугою римського права є обґрунтування юридичного способу, за допомогою якого найрізноманітніші соціальні утворення могли бути введені в цивільний оборот. Наголошено, що ідея розширення кола суб’єктів приватного права за рахунок особливих організацій, союзів громадян належить саме римському приватному праву, проте саме поняття «юридична особа» на цьому етапі історичного розвитку не було сформоване з точки зору матеріального права, а оформилося лише як соціальна категорія, але не як правова.
